Terms & Conditions
These Terms and Conditions ("Terms") govern your access to and use of rei-transfer-v2.vercel.app (the "Site") and any related services, content, software, and applications operated by REI Transfer, LLC (a New York limited liability company, "REI Transfer," "we," "us," or "our"). By accessing or using the Site or our services, you agree to be bound by these Terms. If you do not agree, do not use the Site.
Please read these Terms carefully. Section 11 (Limitation of Liability) and Section 13 (Binding Arbitration and Class Action Waiver) limit your rights and require disputes to be resolved through individual arbitration rather than in court.
1. Acceptance and Eligibility
You represent and warrant that: (a) you are at least 18 years of age and have the legal capacity to enter into binding contracts; (b) you are accessing the Site for legitimate business purposes related to real estate investing or marketing; (c) your use of the Site will comply with all applicable federal, state, and local laws; and (d) if you accept these Terms on behalf of an organization, you have authority to bind that organization, and "you" includes both you individually and that organization.
2. Description of Services
REI Transfer provides marketing strategy, advertising management, creative production, lead generation, and related services to real estate investors and operators ("Services"). The Site provides informational content, application forms, and other tools related to those Services. Specific Service deliverables, pricing, and timelines are defined in separate written agreements between REI Transfer and engaged clients ("Client Agreements"). These Terms govern your use of the public Site and any Services provided in the absence of a separate Client Agreement. A Client Agreement, where present, controls over these Terms in the event of conflict.
3. Account Registration and Application
To request Services, you may submit information through our application form. You agree that any information you submit will be true, accurate, current, and complete. You are responsible for any activity that occurs under your contact information. We may verify any information you provide and may decline to provide Services at our sole discretion.
4. Acceptable Use
You agree not to:
- Use the Site or Services for any unlawful purpose, including without limitation real estate brokerage activity without a required license, deceptive solicitation of distressed homeowners, violation of fair housing laws, or violation of state-specific wholesaling restrictions.
- Reverse engineer, decompile, scrape (other than by standard search engine crawlers), or otherwise attempt to extract source code or proprietary methods from the Site or Services.
- Use the Site to transmit malware, viruses, or other malicious code, or to attempt to gain unauthorized access to our systems or those of our clients or partners.
- Submit false, misleading, or fraudulent information through any form on the Site.
- Use any automated means to access the Site at a rate that materially exceeds typical human use, except for crawlers operating in accordance with our robots.txt.
- Resell, sublicense, or redistribute the Site's content, code, or Services without our express written permission.
- Impersonate any person or entity or misrepresent your affiliation with any person or entity.
We reserve the right to terminate your access to the Site or Services at any time and without notice for any violation of this section.
5. Intellectual Property Rights
The Site, including all text, graphics, photographs, video, audio, written content, code, designs, methodologies (including without limitation the "Pre-Distressed Marketing System" framework and the "Five Pillars" framework), and selection and arrangement thereof (the "REI Transfer Content"), is the exclusive property of REI Transfer or its licensors and is protected by U.S. and international copyright, trademark, trade dress, and other intellectual property laws.
"REI Transfer," the REI Transfer logo, "Pre-Distressed Marketing System," and other names or slogans used on the Site are trademarks of REI Transfer. Nothing in these Terms grants you any license to use any REI Transfer trademark without our prior written consent.
Subject to your compliance with these Terms, REI Transfer grants you a limited, non-exclusive, non-transferable, revocable license to access and display the Site for your personal, non-commercial informational use. All other rights are reserved.
6. User Submissions
If you submit content to us through the Site (including information submitted through application forms, surveys, testimonials, emails, or video and audio recordings of strategy calls) (collectively, "User Submissions"), you grant REI Transfer a perpetual, irrevocable, worldwide, royalty-free, non-exclusive, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, perform, and display such User Submissions in any media for any legitimate business purpose, including marketing, training, and improving our Services. You represent and warrant that you own or have all necessary rights to grant this license, and that your User Submissions do not infringe any third-party rights or violate any law.
If a User Submission identifies you personally (such as a testimonial), you grant us the right to use your name, voice, likeness, business name, and identifying details in connection with publication of that submission. You may revoke this right by contacting privacy@reitransfer.com, with revocation to be applied on a forward-looking basis.
7. Third-Party Content and Links
The Site may contain links to third-party websites, services, or resources (including but not limited to Google Maps, YouTube, social media platforms, and reference articles). REI Transfer does not control, endorse, or assume responsibility for any third-party content, terms, or privacy practices. Your use of any third-party site is at your own risk and subject to that third party's terms.
8. Disclaimers and No Earnings Guarantee
The Site and Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by law, REI Transfer disclaims all warranties, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, security, and quiet enjoyment.
No earnings or results guarantee. Any references on the Site to specific dollar amounts, cost per lead figures, cost per deal figures, return on ad spend, deal counts, profit figures, or client testimonials reflect the experience of specific clients in specific markets at specific times. They do not constitute a guarantee, promise, or projection of future results. Your results will depend on many factors outside REI Transfer's control, including but not limited to your market, your team's execution, your offer, your operational systems, your responsiveness, broader market conditions, regulatory developments, and the performance of third-party advertising platforms. You acknowledge that real estate investing involves substantial risk and that you assume full responsibility for the outcomes of your own business decisions.
No legal, tax, or financial advice. Content on the Site, including blog articles and downloadable resources, is for informational purposes only and does not constitute legal, tax, accounting, investment, brokerage, or financial advice. Always consult qualified professionals in your jurisdiction before acting on any information from the Site.
9. Third-Party Platforms
Our Services often rely on third-party advertising and technology platforms, including without limitation Meta Platforms, Inc. (Facebook and Instagram), Google LLC, Microsoft Corporation, and others. We do not control these platforms and are not responsible for changes to their policies, algorithms, pricing, available features, account approval, or account suspension. Performance of any campaign run on a third-party platform is contingent on that platform's continued availability and operation. You agree that REI Transfer is not liable for losses caused by changes, outages, account suspensions, or other actions of third-party platforms.
10. Confidentiality
Information you share with us in the course of an application or engagement that is reasonably understood to be confidential will be treated as such. We will not disclose confidential business information to third parties outside our team or service providers except as required by law or with your consent. This obligation continues after termination of any engagement.
11. Limitation of Liability
To the maximum extent permitted by applicable law, REI Transfer and its officers, directors, employees, contractors, agents, suppliers, and licensors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including without limitation loss of profits, loss of revenue, loss of goodwill, loss of data, business interruption, or cost of substitute services, arising out of or in connection with your use of the Site or Services, even if REI Transfer has been advised of the possibility of such damages.
REI Transfer's total cumulative liability to you for all claims arising out of or relating to these Terms, the Site, or the Services, whether in contract, tort, strict liability, or otherwise, shall not exceed the greater of (a) the total fees you have actually paid to REI Transfer in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100). Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions our liability is limited to the smallest amount permitted by law.
12. Indemnification
You agree to defend, indemnify, and hold harmless REI Transfer and its officers, directors, employees, contractors, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Site or Services; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property, privacy, or publicity right; (d) any User Submission you provide; (e) your violation of any applicable law or regulation, including real estate licensing or wholesaling statutes; or (f) any misrepresentation by you.
13. Binding Arbitration and Class Action Waiver
Please read this section carefully. It limits how you can pursue legal action against REI Transfer.
Agreement to arbitrate. Any dispute, claim, or controversy arising out of or relating to these Terms, the Site, the Services, or any prior agreement with REI Transfer ("Dispute") shall be resolved by binding individual arbitration, administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules (or, if you are an individual consumer, its Consumer Arbitration Rules). The arbitration shall be conducted in New York County, New York, or by video conference, by a single neutral arbitrator. Judgment on the arbitrator's award may be entered in any court of competent jurisdiction.
Class action waiver. YOU AND REI TRANSFER AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.
Opt-out. You may opt out of this arbitration provision by sending written notice to legal@reitransfer.com within thirty (30) days of first accepting these Terms. Your notice must include your full name, address, and a clear statement that you wish to opt out of arbitration with REI Transfer.
Exceptions. Notwithstanding the above, either party may bring an individual action in small claims court, and either party may seek injunctive relief in court to protect intellectual property rights.
14. Governing Law and Venue
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws principles. Subject to Section 13, the exclusive venue for any judicial proceeding arising out of these Terms shall be the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction of those courts.
15. Modifications to the Terms and Services
We may revise these Terms at any time by posting the updated version on the Site with an updated "Last updated" date. Material changes will be communicated through a notice on the Site or, where required by law, by email. Your continued use of the Site after the effective date of any revision constitutes acceptance of the revised Terms. We may also modify, suspend, or discontinue the Site or any feature at any time without liability.
16. Termination
We may terminate or suspend your access to the Site or Services immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Site ceases immediately. Sections that by their nature should survive termination, including Sections 5, 6, 8, 11, 12, 13, and 14, will survive.
17. Privacy
Your use of the Site is also subject to our Privacy Policy and Cookie Policy, which are incorporated by reference into these Terms.
18. Compliance with Real Estate Laws
You acknowledge that real estate investing and wholesaling activities are regulated at the state and local level and that licensing, disclosure, advertising, and contractual requirements vary by jurisdiction. You are solely responsible for ensuring your real estate activities comply with applicable law in every market in which you operate, including without limitation any wholesaling, brokerage, advertising, telemarketing (TCPA), CAN-SPAM, fair housing, and consumer protection statutes. REI Transfer does not provide legal advice and you should consult a qualified real estate attorney in your state.
19. Force Majeure
REI Transfer is not liable for any failure or delay in performance to the extent caused by events outside its reasonable control, including without limitation acts of God, war, terrorism, civil unrest, pandemic, government action, labor disputes, internet or hosting outages, third-party platform suspensions, or natural disasters.
20. Assignment
You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent. We may assign these Terms or any rights and obligations under them at any time without your consent, including in connection with a merger, acquisition, financing, or sale of assets.
21. Severability and Waiver
If any provision of these Terms is held unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or, if it cannot be modified, severed, and the remaining provisions shall remain in full force and effect. No failure to exercise or delay in exercising any right shall be deemed a waiver of that or any other right.
22. Entire Agreement
These Terms, together with the Privacy Policy, Cookie Policy, and any Client Agreement signed between you and REI Transfer, constitute the entire agreement between you and REI Transfer regarding the Site and Services and supersede all prior or contemporaneous understandings on that subject matter.
